Definitions

In these Terms and Conditions, the following definitions shall apply, save that other less frequently used expressions shall have the meanings attributed to them in the body of the Terms and Conditions:

"Subrosa" means Subrosa Studio, a trading name of Taxi House Opco Limited (Company registration number: 16394003) C/O Mason & Fifth Westbourne Park Limited (Company registration number: 15512557) whose registered office is at 38 Rosebery Avenue, London, EC1R 4RN.

"Guest" means the individual or entity booking the Studio from Subrosa in accordance with these Terms.

"Booking" means the booking between the Guest and Subrosa for the hire of the Studio in accordance with the Booking Form and these Terms.  

"Booking Charge" means the charge payable by the Guest for the use of the Studio, as set out in the Booking Form.

"Booking Form" means the form prescribed by Subrosa setting out the details of the Booking, as agreed between Subrosa and the Guest.

"Session Period" means the booked time period for use of the Studio as stated in the Booking Form.

"Equipment" means all recording, technical, and other equipment provided by Subrosa within the Studio for Guest to use during a Booking.

"Studio" means the studio space and associated facilities made available by Subrosa within the Meadow building located at 11 Woodfield Rd, London W9 2BA.

"Terms" means these Terms & Conditions as may be updated by Subrosa from time to time.

"Damage" means any harm to the Studio beyond normal wear and tear, including breakage, scratches, stains, burns, electrical faults caused by misuse, loss or alteration to original condition.

"Booking Deposit" means the deposit taken from the Guest to secure the Booking, as stated in the Booking Form.

"Security Deposit" means the security deposit of £500 per Booking taken from the Guest.

"Overtime" means any extension of the Booking beyond the Session Period.

01.
Booking & Payments
  • A Booking will only be considered confirmed upon receipt of both the signed Booking Form and payment of the Booking Deposit received in full pursuant to clause 1.2. Together these Terms and the signed Booking Form shall be deemed the "Contract". The Contract shall come into effect and the Booking shall be confirmed on the date the signed Booking Form is returned to Subrosa or the date that the Booking Deposit has been paid to Subrosa in cleared funds by the Guest, if later. All Bookings require a minimum of 24 hours advance notice before commencement of the Session Period.
  1. Deposit & Balance
    1. A non-refundable Booking Deposit of fifty percent (50%) of the Booking Charge is required upon signing the Booking Form to secure the Booking.
    1. The remaining 50% balance of the Booking Charge must be paid no later than fourteen (14) days prior to the commencement of the Session Period. If the Booking is made within fourteen (14) days of the commencement of the Session Period, then the full Booking Charge shall be payable by the Guest upon signing the Booking Form.
  2. Cancellations
    1. Cancellation of a Booking within 72 hours of commencement of the Session Period will be subject to a cancellation fee payable by the Guest in the amount of 100% of the Booking Charge.
    1. Cancellations made more than 72 hours prior to the commencement of the Session Period will be subject to a cancellation fee payable by the Guest in the amount of the Booking Deposit.
  3. Payment Methods
    1. Payment by the Guest under these Terms is accepted by bank transfer to Subrosa's then current bank account as stated on the Booking Form or by authorised card.
    1. A valid credit or debit card must be held on file for any overages, Damages, or additional charges incurred during the Booking.  
    1. In addition to the Booking Deposit, Subrosa reserves the right to require the Guest to pay a Security Deposit to Subrosa prior to commencement of the Session Period. The Security Deposit shall serve as security against any Damage, or breach of the terms of these Terms as caused by the Guest or its guests. The Security Deposit is refundable subject to the Studio being left in a satisfactory condition and full compliance with these Terms, unless otherwise specified.
02.
Sessions Hours & Overtime
  1. The Session Period begins and ends at the scheduled start and finish times stated in the Booking Form, regardless of the Guest’s arrival or any setup delays.
  1. Subrosa reserves the right to charge Overtime if the Booking overruns the agreed Session Period. Overtime is billed at £100 + VAT per hour, rounded up to the next full hour.
  1. Weekend or overnight hours (8pm–8am) are subject to an additional £75 per hour surcharge which applies to the day rate for Bookings during these hours.
  1. Subrosa reserves the right to refuse Overtime if it conflicts with other bookings or staff schedules.
03.
Use of Studio & Conduct
  1. Subject to Clause 1.3, Subrosa grants to the Guest for the Session Period, a right to enter and use the Studio in accordance with these Terms. The Guest acknowledges that the:
    1. the Guest shall have the right to enter and use the Studio as a licensee only and no relationship of landlord and tenant is created between Subrosa and the Guest by these Terms; and
    1. Subrosa retains control, possession and management of the Studio and the Guest has no right to exclude Subrosa from the Studio. Subrosa reserves the right to enter the Studio at all times during the Session Period.
  2. The Guest and all attendees of the Guest must conduct themselves in a professional and respectful manner in and around the Studio.
  3. Quiet hours apply in and around the Studio between 22:00 and 06:00. The Guest must respect neighbouring guests and residents.The maximum number of people permitted in the Studio at any one time is four (4) people. The Guest shall confirm the number of attendees attending the Studio in the Booking Form and any amendments to this number must be agreed in advance with Subrosa in order to comply with fire safety regulations.
  4. The Guest is responsible for the behaviour of all permitted guests, crew, and visitors.
  5. Subrosa reserves the right to terminate a Booking immediately without refund in the event of gross misconduct, use of illegal drugs, Damage, or other serious breaches of these Terms.
  6. The Guest agrees to:
    1. keep all areas in or around the Studio accessible and clear of rubbish;
    1. not use the Studio for any other purpose other than a recording studio;
    1. to comply with any law (and any other obligations imposed by any law) applicable to the Studio or its use and any written instructions or notices from Subrosa, and use reasonable efforts to ensure that all permitted guests, crew and visitors so comply;
    1. not to admit members of the general public to the Studio;
    1. not to do or permit to be done in or around the Studio anything which is illegal, or which may be or become a nuisance (whether actionable or not), annoyance, inconvenience or disturbance to the Studio or to the other residents of the wider building and their visitors or any owner or guest of any neighbouring property;
    1. not to do anything that will or might vitiate in whole or in part any insurance in respect of the Studio, or increase the insurance premium;
    1. not to bring or permit to be brought into the Studio without the prior written consent of Subrosa, any animal (with the exception of assistance dogs within the meaning of the Equality Act 2010).
04.
Equipment & Technical Liability
  1. Subrosa provides access to the Studio and Equipment in working order. A full list of the Equipment is available upon request prior to the Session Period.
  1. The Guest is responsible for any Damage to the Studio’s property, Equipment, or furnishings caused during their Booking.
  1. Any Damage will be charged to the Guest by Subrosa at the full replacement or repair cost at the current market rate.
  1. Outside equipment may only be brought in by the Guest with Subrosa's prior written agreement and shall be subject to the following conditions:
    1. Subrosa accepts no liability for external equipment, including loss, theft, or damage.
    1. Delivery, setup, and removal of external equipment must occur within the booked Session Period.
    1. Subrosa cannot accept early drop-offs, storage, or handling by onsite staff of any external equipment brought by the Guest.
  1. Subrosa accepts no liability for loss, corruption, or deletion of guest data, including recordings, session files, or any digital content created in the Studio. Data backup and storage arrangements are entirely the Guest's responsibility.
  1. Subrosa takes all reasonable steps to ensure that any digital Equipment is free from viruses and other malware, however Subrosa accepts no liability to the Guest for any loss or damage resulting from a virus or other malware, a distributed denial of service attack, or other harmful material or event that may adversely affect the Guest's hardware, software, data or other material that occurs as a result of the Guest's use of the Studio (including the downloading of any recordings or session files created from it) or any other site referred to in our Studio.

05.
Engineer & Staff Policy
  1. A qualified sound engineer is provided by Subrosa for the Studio and the cost of such engineer is included in the Booking Charge.
  1. The Guest may request to use external engineers at its own cost but only with Subrosa's prior written consent.
  1. Additional technical or setup time requested beyond the Session Period will be billed at standard overtime rates.
06.
Cleaning & Reset
  1. The Studio must be left in the same condition as found.
  1. If excessive cleaning, disposal, or reset work is required, a charge will be payable by the Guest at:
    1. A minimum of £150 for a deep clean, and/or
    1. £75 per hour for general excessive cleaning, whichever is lower.
  2. Food and drink spills, smoking inside the building, or misuse of furniture or fittings may trigger cleaning or damage charges.

Food, Drink & Catering
  1. The Studio provides selected food and beverage options as outlined on the rate card.
  1. Charges for consumed items will be applied to the amount held as the Security Deposit, or the card on file after the Booking, with a VAT invoice available upon request.
  1. No outside catering or alcohol is permitted in the Studio without Subrosa's prior written approval.
08.
Insurance & Liability
  1. The Guest is responsible for insuring their own instruments, personal items, and any external equipment brought into the Studio. Guests must have adequate insurance coverage for the transport and handling of any goods or equipment.
  1. Subject to Clause 8.4, Subrosa accepts no liability for:
    1. Loss, theft, or damage to personal property brought into the Studio;
    1. Personal injury or accident within the Studio;
    1. Consequential or indirect losses incurred by the Guest and arising from the Guest's use of the Studio.
  1. Subject to Clause 8.4, Subrosa's total liability to the Guest under this Contract shall not exceed the total Booking Charges paid by the Guest to Subrosa.
  1. Nothing in the Contract limits any liability which cannot legally be limited, including liability for death or personal injury caused by negligence; and fraud or fraudulent misrepresentation.
  1. The Guest agrees to indemnify the Studio against any claims, damages, or costs arising from their use of the Studio.
09.
Service Interruptions & Forced Majeure
  1. Subrosa takes no responsibility for wifi or power outages or other technical interruptions outside of its control.
  1. In the event of unavoidable disruption (power failure, illness, equipment fault, transport disruption, or similar), Subrosa will review each Booking on a case by case basis, and reserves the right to cancel or modify a Booking on written notice to the Guest. Alternative arrangements may be offered at Subrosa’s discretion. Subrosa shall not be liable for loss of use, cancellation, or consequential damages caused by such events.
10.
Health & Safety
  1. The Guest and its attendees must comply with all fire and safety instructions displayed in the Studio.
  1. Smoking and vaping are strictly prohibited inside the Studio and anywhere on the wider premises.
  1. The Guest shall ensure cables, stands, and recording gear is handled responsibly to prevent injury.
  1. Subrosa confirms that:
    1. the furnishings in the Studio are fire resistant; and
    1. the electrical appliances provided in the Studio are safe and all appliances manufactured after 19 January 1997 are marked with the relevant CE symbol. All such appliances are PAT tested on an annual basis for safety.
11.
Access & Security
  1. Before accessing the Studio, the Guest must check in at the Meadow reception at the scheduled start time of the Session Period.
  1. Setup and breakdown time must be included within the allocated Session Period. This should include any time required for download and export of materials recorded in the Studio.
12.
Modifications & Alterations
  1. The Guest shall make no alterations to the Studio, including moving furniture, drilling holes, or making any changes to the original configuration.
  1. Temporary installations, decorations, or backdrops are prohibited unless pre-arranged in writing with Subrosa.
  1. The Guest shall not use adhesives, nails, screws, or mounting equipment on walls, ceilings, or any surfaces within the Studio.
13.
Ownership of Recordings
  1. Upon full payment of the Booking Charge to Subrosa, all recordings made during the Booking shall become the property of the Guest.
  1. Subrosa retains no claim to the intellectual property rights in any recordings unless otherwise agreed in writing (e.g. for co-production or creative collaboration).
  1. Data storage and file delivery arrangements are the sole responsibility of the Guest. Subrosa does not provide ongoing storage services of any recordings beyond the Session Period.
14.
Parking & Building Access
  1. No parking is available on site. The Guest must arrange their own parking in surrounding areas.
  1. Loading and unloading of external equipment must be arranged with at least twenty-four (24) hours' notice to Subrosa through its loading bay team.
  1. All loading, unloading, setup, and removal activities must occur within the Session Period. Subrosa cannot store, hold, or accept liability for any external equipment before, during, or after the Session Period.
  1. All external equipment must be removed prior to the end of the Session Period. Any external equipment left behind will be disposed of at the Guest's expense.
  1. Building access is restricted to the Session Period only. No early access or extended use of common areas is permitted by the Guest.
15.
Confidentiality & Data Protection
  1. Each of Subrosa and the Guest undertakes that it shall not at any time disclose to any person any confidential information concerning the business, assets, affairs, customers, clients or suppliers of the other party, except as permitted by this Clause.
  1. Each party may disclose the other party's confidential information:
    1. to its employees, officers, representatives, contractors, subcontractors or advisers who need to know such information for the purposes of exercising the party's rights or carrying out its obligations under or in connection with these Terms. Each party shall ensure that its employees, officers, representatives, contractors, subcontractors or advisers to whom it discloses the other party's confidential information comply with this Clause; and
    1. as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.
  2. Neither party shall use the other party's confidential information for any purpose other than to exercise its rights and perform its obligations under or in connection with these Terms.
  3. Each party shall, at its own expense, comply with and assist the other party to comply with, the requirements of all applicable data protection and privacy legislation in force from time to time in the UK including the Data Protection Act 2018 (and regulations made thereunder), the retained EU law version of General Data Protection Regulation ((EU) 2016/679), the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426). Subrosa will process the Guest's personal data, including its guests’ personal data, in accordance with its privacy notice available at mason-fifth.com
16.
Photography & Marketing Consent
  1. Subrosa may take photographs or videos of the Studio during Bookings for operational, security, or promotional purposes.
  1. By booking the Studio, the Guest consents to the use of their image and likeness in Subrosa's marketing materials, social media, website, and promotional content, unless the Guest informs Subrosa in writing prior to the Booking that it does not wish to feature in marketing or promotional content.
  1. The Guest shall not photograph or film other guests, staff, or studio users without explicit written consent from Subrosa and any individual featuring in the content.
17.
Communication & Updates
  1. All communication regarding bookings, changes, or issues and any other notice under these Terms will be conducted via email. For the Guest, this shall be the email provided in the Booking Form and for Subrosa this shall be hello@subrosa-studio.com, unless otherwise notified in writing to the other party.
  1. No changes to the Contract are permitted once terms are signed and the booking is confirmed by Subrosa, unless agreed by both Subrosa and the Guest.
18.
General
  1. Entire agreement. These Terms together with the Booking Form constitutes the entire agreement between the Guest and Subrosa in relation to use of the Studio. Each party acknowledges that in entering into this Contract it does not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this Contract. Each party agrees that it has no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in the Contract.
  1. Severance. If any provision or part-provision of the Contract is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of the Contract. If any provision or part-provision of the Contract is deemed deleted, the parties shall negotiate in good faith to agree a replacement that, to the greatest extent possible, achieves the intended commercial result of the original provision.
  1. Third Party Rights. The Contract does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
  1. Assignment. The Guest shall not assign, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any of its rights and obligations under the Contract without Subrosa's prior written consent. Subrosa may at any time assign, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any or all of its rights and obligations under the Contract.
19.
Governing Law & Juridstiction
  1. These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation are governed by and construed in accordance with the laws of England and Wales.
  1. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
20.
Agreement
  1. By proceeding with a booking and completing the Booking Form, the Guest confirms they have read, understood, and agree to these Terms. To the extent there is any conflict between these Terms and the Booking Form, the terms contained in the Booking Form shall prevail.
